# EOR Agreements

> Review the Master Service Agreement, Data Processing Agreement, and Commercial Addendum, then sign all three in one e-signature session.

After completing [Company Setup](/eor/company-setup), you review and sign three legal agreements before you can hire employees through Omnivoo's EOR service. These agreements establish the legal framework for the employer of record relationship.

## The agreements page

The page is headed **Review & Accept Agreements** with the subtitle "Please review and accept the following agreements to proceed with hiring", and a **← Back to company setup** button above it.

A **Signing as: \[name], \[title] of \[company]** box confirms who is signing. That is the authorised signatory you named during [Company Setup](/eor/company-setup).

The page is gated on load. If you have already accepted all three it sends you straight to the Hire page, and if your company details are still incomplete it sends you back to Company Setup. It shows the agreements only when your company details are done and the agreements are still outstanding.

## The three agreements

| Agreement | Purpose |

| **Master Service Agreement (MSA)** | Governs the overall EOR relationship between your company and Omnivoo: Omnivoo's role as the legal employer, your rights and responsibilities as the client, intellectual property ownership, service scope, and termination and dispute resolution |
| **Data Processing Agreement (DPA)** | Covers how employee personal data is processed, in compliance with India's Digital Personal Data Protection (DPDP) Act 2023 |
| **Commercial Addendum** | Service fees, payroll processing SLAs, employee management responsibilities, termination procedures, and liability terms |

Each one sits in its own card with a version badge and a **Download** link. Read them in the scrollable viewer on the page.

### What the DPA covers

* **Data collected:** Employee names, contact details, ID documents, bank details, tax information, and salary details.
* **Processing purpose:** Payroll administration, statutory compliance (PF, ESI, TDS), benefits administration, and government filings.
* **Your rights:** You can withdraw consent at any time by contacting [contact@omnivoo.com](mailto:contact@omnivoo.com).
* **Complaints:** You may file complaints with the Data Protection Board of India as established under the DPDP Act, 2023.

  **Data privacy**

  Withdrawal of consent will not affect the lawfulness of processing carried out before the withdrawal. Certain data may need to be retained for statutory compliance even after consent withdrawal.

### Standard or custom agreements

Any of the three can be a standard Omnivoo document or a custom one negotiated with your company. A custom agreement shows a **Custom** badge in place of a version number and renders as HTML, a DOCX preview, or an embedded PDF, with **View original document** and **Download original** (or **Open in new tab**) links. A standard agreement renders as generated text with a plain-text **Download** (for example, `Omnivoo_MSA_v{version}.txt`).

## Electronic Records Disclosure

Above the agreements, an **Electronic Records Disclosure** sets out that:

* By accepting these agreements electronically, you consent to conduct this transaction electronically under the ESIGN Act and UETA.
* A signed copy of each agreement will be emailed to you upon acceptance for your records.
* You may request additional copies at any time by contacting [contact@omnivoo.com](mailto:contact@omnivoo.com).
* You may withdraw your electronic consent at any time by contacting [contact@omnivoo.com](mailto:contact@omnivoo.com).

## Signing

There are no acceptance checkboxes and no signature pad. The three cards are there so you can **read** the documents; signing is a single handoff to our signing partner.

    The button sits at the top right of the page, with "All three agreements are signed together in one e-signature session." under it. Click **Review and sign agreements**. A **Sign your agreements** window explains that you'll go to our secure signing page and come straight back. Click **Continue**, or **Cancel** to stay on the page.

    Sign all three in the session that opens. When you finish, you are returned to Omnivoo, which shows **Finalizing your signature** for a few seconds while it confirms, then takes you on to hiring. If confirming takes longer than usual, click **Try again**. There is no need to sign a second time.

  The person signing must be the **authorised signatory** designated during [Company Setup](/eor/company-setup). Their name and title are shown at the top of the page for confirmation.

## Updated terms that need signing again

If Omnivoo re-issues an agreement you have already signed, a banner appears at the top of this page reading **Updated terms need your signature**, naming what we have sent you. If the signature is past due, the banner turns red and reads **Signature overdue**, and adds "New hires are paused until it is signed."

That banner is why a company that has already signed can land on this page again. Sign the updated agreements the same way, through **Review and sign agreements**.

## Downloading your agreements

* **From this page:** click the **Download** link on each agreement card. Standard agreements are saved as a text file; a custom agreement's download (or "Open in new tab") link gives you the original document.
* **After signing:** your signed agreements are listed on the [Compliance](/compliance/compliance-and-documents) page with a **Download** button for each.

  **Agreement names**

  On this signing page the agreements are labelled Master Service Agreement, Data Processing Agreement, and Commercial Addendum. On the Compliance page the same agreements appear as Master Services Agreement, Data Processing Addendum, and Commercial Addendum. They are the same documents.

## Common Questions

**Can I negotiate custom terms?**
Yes. Contact [contact@omnivoo.com](mailto:contact@omnivoo.com) to discuss custom terms. A custom agreement is displayed in place of the standard one on this page.

**What if I need to update the authorised signatory?**
Contact Omnivoo support to update your signatory. Agreements previously signed remain valid.

**Are the agreements versioned?**
Yes. Each agreement shows a version number next to its title. If Omnivoo updates one, you will see the banner described above and will need to sign the new version.

**Do I need to sign again for each new employee?**
No. Once you have signed, the agreements apply to every employee you hire through Omnivoo's EOR service.
